Welcome to StudyAML.com (the “Platform”), an online learning platform focused on Governance, Risk & Compliance (GRC), AML/CFT, data protection, sanctions, cybersecurity, and related topics. The Platform is owned and operated by VYKN LLC (“VYKN”, “we”, “us”, or “our”). These Terms & Conditions (the “Terms”) form a legally binding agreement between you and VYKN governing your access to and use of the Platform, our mobile applications (if any), forums, APIs, and all related services (collectively, the “Services”). 

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy and Refund Policy, each incorporated herein by reference. If you do not agree, do not use the Services.

 1. Accounts

You need an account for most activities on the Platform (e.g., purchasing or accessing content, posting in forums). When creating and maintaining your account, you must provide accurate, current, and complete information and keep it updated (including a valid email address). You are solely responsible for all activity on your account. Keep your password secure and do not share your login credentials. We may require identity verification before allowing you to submit or publish content. 

You must have reached the age of consent to use online services in your jurisdiction to use the Services. If you are under the age of 18 but above the age of consent for online services where you live, a parent or legal guardian must register and manage the account and supervise your use of the Services. Accounts may not be transferred. If you suspect unauthorized use of your account or any other security incident, notify us promptly at support@studyaml.com. 

You may terminate your account at any time using account settings (where available) or by contacting support. Please review our Privacy Policy to understand what happens when you close your account. 

 

2. Content Enrollment & Access

When you enroll in a course, program, or other content on the Platform (collectively, “Content”), you obtain a limited, non‑exclusive, non‑transferable license from VYKN to access and view that Content solely via the Services for your personal, non‑commercial, educational use, subject to these Terms and any additional restrictions shown at purchase or within the Content (e.g., prerequisites, time limits, or credential requirements). Content is licensed, not sold. 

Unless otherwise stated at checkout or in the Content description, we generally grant ongoing access to purchased Content (“Course Access”). However, we reserve the right to revoke access and/or remove Content at any time for legal, policy, or rights‑holder reasons (for example, copyright claims, sanctions concerns, or Trust & Safety violations). Ongoing access does not include any live elements, instructor availability, discussion forums, assessments, certificates, or add‑on services, which may be modified or discontinued at any time. 

You may not reproduce, redistribute, sublicense, publicly display, transmit, sell, lend, or otherwise exploit Content outside the Services, nor may you access Content via automated means or any method other than the interfaces we provide. 

3. Payments, Pricing & Refunds

3.1 Pricing 

Prices are displayed at checkout and may differ by region, currency, promotion, or platform. We may run promotions for a limited time. Taxes (e.g., VAT/GST/Sales) may be included in the displayed price or added at checkout, depending on your location and applicable law. 

3.2 Payments 

You agree to pay all fees for purchases made through your account and authorize us and our payment service providers to charge your selected payment method. If we are unable to process payment, we may suspend or revoke access to the applicable Content or Services. We may update your payment method details using information from our payment service providers. 

3.3 Refunds 

No Refunds. All sales on StudyAML.com are final. We do not offer refunds for any purchases made through the Services. 

Discretionary Course Credits. In exceptional circumstances and at our sole discretion, we may issue a course credit as a courtesy (not an obligation). If granted, credits: 

  • Equal the amount you originally paid for the applicable Product; 
  • May be applied to the purchase of any course on StudyAML.com; 
  • Expire one (1) year from issuance; 
  • Are non‑transferable and have no cash value and may not be redeemed for cash or other compensation. 

Requests for courtesy credits can be made via contact@studyaml.com. Issuance of a credit in one case does not entitle you to credits in similar or future cases. 

 

 4. Content & Behavior Rules

You agree to use the Services only for lawful purposes and in compliance with these Terms and all applicable laws and regulations (including financial crime, sanctions, export controls, anti‑bribery/anti‑corruption, data protection, and consumer laws). Without limitation, you must not: 

  • Upload or post content you do not own or lack authorization to use. 
  • Infringe copyrights, trademarks, privacy, publicity, or other rights. 
  • Impersonate others or misrepresent your affiliation. 
  • Interfere with the operation of the Services, attempt to circumvent security, or access non‑public systems. 
  • Upload malware or engage in spamming, scraping, or unauthorized data collection. 
  • Post unlawful, offensive, hateful, harassing, or misleading content. 
  • Share your account credentials or resell access to Content. 

We may remove content, restrict features, suspend, or terminate accounts for violations of these Terms or our policies, or as required by law or competent authorities. 

 

 5. Rights to Content You Post

You retain ownership of the content you submit or post on or through the Services (e.g., forum posts, assignments, reviews, profile information) (“User Content”). By submitting User Content, you grant VYKN a worldwide, non‑exclusive, royalty‑free, sublicensable license to use, host, reproduce, modify, adapt, publish, translate, distribute, display, and perform such User Content (including your name and likeness) in any media for the purposes of operating, improving, and promoting the Services. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate law or third‑party rights. 

 

 6. Using the Services at Your Own Risk

Content is provided for educational purposes and may reflect instructors’ or contributors’ opinions. We do not provide legal, financial, tax, audit, cybersecurity, or other professional advice, and no attorney‑client, fiduciary, or other professional relationship is created by your use of the Services. You are responsible for your reliance on Content and should seek independent professional advice where appropriate. You may be exposed to content you find objectionable; we are not liable for such exposure, subject to applicable law. 

We do not hire or employ instructors, and we are not responsible for interactions between users and instructors. Links to third‑party sites are provided for convenience; we are not responsible for their content or practices. 

 

7. Our Rights

All right, title, and interest in and to the Services (including the Platform, software, databases, interfaces, APIs, logos, and content created by or for VYKN) are and will remain the property of VYKN and its licensors, protected by intellectual property and other laws. Except as expressly permitted, you may not copy, modify, reverse engineer, or create derivative works of the Services, or use any trademarks or branding without our written permission. 

 

8. Subscription Plans (if offered)

If we offer subscription‑based access to collections of Content or features (“Subscription Plans”), your subscription grants a limited, non‑exclusive, non‑transferable license to access included Content during the subscription term. Subscriptions renew automatically unless canceled per your account settings. Payments are generally non‑refundable, except as required by law or our Refund Policy. We may add, remove, or modify included Content or features at any time. 

Interactive lab/workspace features (if any) may be provided by third parties and are subject to usage limits and third‑party terms. You may not use Interactive Sessions for production workloads, cryptocurrency mining, or any unlawful activities. 

 

9. Enterprise / Organization Accounts

If you access the Services via your employer or another organization under an enterprise agreement, that agreement may govern certain uses, features, data processing, and retention. Your organization may control access to accounts provisioned under its agreement. If the enterprise agreement conflicts with these Terms, the enterprise agreement governs for enterprise users. 

 

10. Intellectual Property; DMCA/Notice of Infringement

We respect intellectual property rights and expect you to do the same. If you believe Content or User Content infringes your rights, please send a notice that includes: (a) identification of the work claimed to be infringed; (b) identification of the allegedly infringing material and its location; (c) your contact information; (d) a statement of good‑faith belief; (e) a statement under penalty of perjury that the information is accurate and that you are authorized to act; and (f) your physical or electronic signature. Send notices to legal@vykn.com or by mail to the address in Section 22. We may remove or disable access to disputed material and, where appropriate, terminate repeat infringers. 

 

11. Sanctions, Export & Compliance

You warrant that you are not located in, ordinarily resident in, or organized under the laws of any jurisdiction subject to comprehensive U.S. sanctions or embargoes (including, without limitation, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, or Luhansk regions), and that you are not a blocked person under applicable sanctions lists. You agree not to access or use the Services in violation of U.S. or other applicable export control and sanctions laws. You agree not to upload or provide restricted technical data subject to export controls without our prior written consent. 

 

12. Disclaimers

The Services and all Content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, VYKN and its affiliates, suppliers, and partners disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non‑infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error‑free, or that results will meet your requirements. We may modify or discontinue features at any time. 

 

13. Limitation of Liability

To the fullest extent permitted by law, VYKN and its affiliates, suppliers, partners, and agents will not be liable for any indirect, incidental, special, punitive, or consequential damages (including lost data, revenue, profits, business opportunities, or personal injury) arising out of or related to your use of the Services, whether based in contract, tort, strict liability, or otherwise, even if advised of the possibility of such damages. Our total liability to you for any claims arising from or related to the Services will not exceed the greater of USD $100 or the amounts you paid to VYKN for the Services giving rise to the claim in the 12 months preceding the event. 

Some jurisdictions do not allow certain limitations; in such cases, the foregoing limitations apply to the maximum extent permitted by law. 

 

14. Indemnification

You agree to indemnify, defend (at our request), and hold harmless VYKN, its affiliates, officers, directors, employees, agents, and partners from and against any third‑party claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your User Content; (b) your use of the Services; (c) your violation of these Terms; or (d) your violation of any rights of another person or entity. 

15. Governing Law & Jurisdiction; Dispute Resolution (US/Canada)

15.1 Governing Law & Venue (General) 

Except as provided below for U.S. and Canadian residents, these Terms are governed by the laws of the State of Delaware, USA, without regard to conflict‑of‑law principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in New Castle County, Delaware for any claims not subject to arbitration (and for provisional relief). 

15.2 Dispute Resolution (U.S. & Canada Only) 

If you reside in the United States or Canada, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (collectively, “Disputes”) that cannot be resolved informally will be resolved exclusively in small claims court or by binding individual arbitration under the Federal Arbitration Act. Class actions and jury trials are waived. 

Informal Process. Before filing, the claiming party must send a short written notice explaining the Dispute and proposed resolution to notices@vykn.com (and may also mail to the address in Section 22). The parties will try in good faith to resolve the Dispute within 60 days. 

Arbitration. If not resolved, either party may commence arbitration with the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or Commercial Arbitration Rules for organizational users). A single arbitrator will conduct proceedings by video, phone, or on written submissions, unless an in‑person hearing is required by the rules. The arbitrator may award the same individual relief a court could. Judgment on the award may be entered in any court with jurisdiction. 

Mass Filings. If 25 or more substantially similar claims are brought by or with the same counsel, a bellwether process will apply, followed by mandatory mediation, after which remaining claims may proceed individually in small claims court or before FairClaims, Inc., as appropriate. 

This Section 17.2 does not prevent either party from seeking provisional remedies in court. 

 

16. Legal Actions & Notices

No action arising out of or relating to these Terms may be brought more than one (1) year after the cause of action accrues, except where prohibited by law. We may provide notices to the email address associated with your account. You may send notices to notices@vykn.com and to our mailing address in Section 22. 

 

17. Relationship of the Parties; Assignment; Third‑Party Terms

These Terms do not create a partnership, joint venture, employment, or agency relationship. You may not assign or transfer these Terms or your rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction. Third‑party services or tools integrated with the Services may have their own terms, which you must review and accept as applicable. 

 

18. Recommendation Systems

Our recommendation systems suggest Content based on factors such as your activity on the Platform, Content popularity, and information you provide. You can manage certain preferences in your account (where available). 

 

19. Updating These Terms

We may update these Terms from time to time (for example, to reflect changes to the Services or applicable law). If changes are material, we will provide prominent notice (e.g., by email or via the Platform). Changes take effect when posted unless stated otherwise. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
